Jody Darling sends Albert Jaquier a document to sign which is not only difficult to decipher but includes false statements. He offers Jaquier an opportunity to purchase some stock and asks Jaquier to sign the letter if he accepts the offer. Jaquier signs. Although the letter doesn't appear to say anything about Jaquier's previous loan to Darling, Darling stops referring to Jaquier as a creditor after this date and tries to claim that Jaquier is now an investor; Darling converts Jaquier's loan to a stock purchase without his consent.
